Terms of Service

1. Introduction
Welcome to Harvestt. These Terms of Service ("Terms") govern your access to and use of:
- The website at www.harvestt.co.uk
- Our weighbridge and harvest tracking software for grain farms in a web browser
- The Harvestt mobile application on iOS (and any future Android release)
Collectively, the "Service", operated by Scott Bromley and Joe Belcher, cofounders ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a farm or other organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
3. Account Registration
To access certain features of the Service, you must create an account and, where applicable, create or join a farm organisation. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorised access to your account
- Accept responsibility for all activity that occurs under your account and your farm organisation
We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete, or if you violate these Terms.
4. Subscriptions and Payments
4.1 Subscription Plans
The Service is offered through paid subscription plans billed per farm (not per user), including Monthly (£10/month) and Annual (£80/year) tiers. Plan details, pricing, and features are described on our Pricing section and may be updated from time to time. Everyone on a farm organisation is included under a single farm subscription.
Subscriptions are purchased and managed on our website through Stripe Checkout and the Stripe customer portal. The mobile app uses the same farm subscription; it does not charge separately through Apple In-App Purchase unless we clearly state otherwise in the app.
4.2 Billing
All subscription payments are processed securely through Stripe. By subscribing to a paid plan, you authorise us to charge your chosen payment method on a recurring basis (monthly or annually, depending on your plan) until you cancel. Prices are listed in British Pounds (GBP). Unless we state otherwise at checkout, prices are exclusive of VAT; we will charge VAT where legally required. Billing is associated with the farm organisation, not an individual user.
Payment will be charged to your chosen payment method at confirmation of purchase and at the start of each renewal period. Your subscription renews automatically unless you cancel at least 24 hours before the end of the current period.
4.3 Free Trial and Promotional Access
We may offer free trials or promotional periods at our discretion. At the end of a free trial, your subscription may convert to a paid plan unless you cancel before the trial period ends, where such conversion is clearly stated at signup.
4.4 Cancellation
You may cancel your subscription at any time through Settings → Billing on the website (Stripe customer portal) or by contacting support. Upon cancellation:
- Your access to paid features will continue until the end of your current billing period
- No further charges will be made after the current billing period
- We do not provide prorated refunds for the unused portion of a billing period, except where required by law
4.5 Refunds
Refund requests are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us within 14 days of your purchase. We reserve the right to grant or deny refund requests at our sole discretion, except where consumer law requires otherwise.
If you are a consumer in the UK or EEA, nothing in these Terms affects your statutory rights, including any applicable cooling-off rights for distance contracts for digital services.
4.6 Price Changes
We reserve the right to change our subscription prices at any time. If we change the price of your plan, we will provide you with at least 30 days' notice before the change takes effect. Your continued use of the Service after the price change constitutes your acceptance of the new pricing.
5. Intellectual Property
5.1 Our Content
All content available on the Service, including but not limited to software, text, graphics, logos, images, documentation, and marketing materials, is owned by or licensed to Harvestt and is protected by copyright, trademark, and other intellectual property laws.
5.2 Limited Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your farm's internal business purposes. This licence does not include the right to:
- Reproduce, distribute, or publicly display any content from the Service except as needed to use the Service
- Modify, create derivative works from, or reverse-engineer any part of the Service
- Use the Service or its content for any commercial purpose other than operating your own farm without our written consent
- Share, resell, or sublicense your account access to any third party outside your authorised farm team
5.3 Your Farm Data
Farm and operational data you enter into the Service ("Farm Data"), including fields, sheds, crops, loads, and stock records, remains your property (or that of the farm organisation you represent). By submitting Farm Data, you grant us a non-exclusive, worldwide, royalty-free licence to host, process, display, and store that data solely for the purpose of operating and improving the Service. We do not claim ownership of your Farm Data.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property or other rights of any third party
- Access another farm's data without permission
- Share your account credentials with others outside your authorised farm team, or allow unauthorised people to use a single account
- Scrape, crawl, or use automated tools to extract content from the Service except through features we provide (for example exports)
- Attempt to gain unauthorised access to any part of the Service, other accounts, or computer systems
- Upload or transmit viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of the Service
- Resell, white-label, or commercially exploit the Service without our prior written consent
- Use the Service in any manner that could damage, disable, or impair the Service
- Engage in any fraudulent or deceptive activity
Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without refund.
7. Disclaimers
7.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
7.2 Operational Tool - Not Professional Advice
Harvestt is a tracking and record-keeping tool. It does not replace weighbridge calibration, weighing equipment maintenance, agronomic advice, accounting advice, or your regulatory compliance obligations as a farm business. We make no guarantees about the accuracy, completeness, or timeliness of any data displayed in the Service. You remain responsible for verifying weights, yields, and other figures used for commercial, contractual, or regulatory purposes.
7.3 No Guarantee of Outcomes
We do not guarantee uninterrupted access, error-free operation, or any particular operational outcome from using the Service. Results depend on many factors beyond our control, including how the Service is configured and used on your farm.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Harvestt, its owner, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or business interruption, arising out of or in connection with your access to or use of (or inability to access or use) the Service, or decisions made using data in the product.
Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or £100, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless Harvestt, its owner, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your Farm Data, your violation of these Terms, or your infringement of any third-party rights.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms or our Acceptable Use policy
- Fraudulent or illegal activity
- Non-payment of subscription fees
- Extended period of inactivity
- At your request
- Security or legal requirements
Upon termination, your right to use the Service will immediately cease. Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination. You may request an export of your Farm Data before or shortly after termination by contacting us.
11. Service Availability and Modifications
We strive to maintain the availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We shall not be liable for any modification, suspension, or discontinuation of the Service.
We reserve the right to update, modify, or remove features at any time. Access to specific features may change based on your subscription plan.
12. App Stores
If you download the mobile app from the Apple App Store (or another app store), you also agree to any applicable terms of that store. The store operator is not responsible for providing support for Harvestt; support is provided by us via harvestt.co.uk/support. In the event of a conflict between these Terms and an app store's mandatory terms for end users, the store's mandatory terms prevail for the download of the app itself.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where consumer protections require otherwise.
Before initiating any formal proceedings, you agree to first attempt to resolve any dispute by contacting support to seek an informal resolution.
14. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (for example via email or a notice on the Service). Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Harvestt regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
